In today’s transparent, always-on world, control of brand messaging has shifted from organizations into the hands of increasingly connected consumers. A single post about a company can go viral and create untold brand damage in a matter of minutes. Although 70% of directors identified reputational risk as a top concern in a recent survey, less than 10% of those same directors said they were well-versed in social media issues. In order to effectively advise organizations on how to manage brand risk and reputation, boards of directors should understand the threats, tap into chief marketing officer expertise, and help oversee the development of plans to mitigate risk.

However, does exemplary governance mean different things within different types of legal structures and ownerships - public, private, and PE? High profile drama in publicly-traded board rooms is spotlighted prominently in business news routinely. But, how often do you hear about private, or not-for-profit, or PE firms? Does this dynamic signal that the very nature of governance in private, PE, and not-for-profits entities are fundamentally different? Are the skills required of directors widely different? This interactive discussion will cut through the governance myths and frame the imperatives toward advancing exemplary board leadership within these various types of entities.

Governance of Private & Family Owned Companies
Jan. 16, 2018
Philadelphia, PA

Governance of privately-held and family-owned companies can present unique challenges. While the fiduciary obligations of board members are the same as for publicly-held companies, governance in private and family businesses is often not nearly as strong as for public companies, which misses a valuable opportunity to reduce risk and increase value. Too often, the boards of private and family businesses lack independent members, and leading governance practices are not utilized. In family companies, succession planning can be complicated by familial relationships, as well as by divorce, health issues, etc. However, there is a hopeful trend among privately-held and family-owned companies towards improving their governance – adding truly independent board members, and adopting stronger governance practices. Join us for a timely discussion on governance as it pertains to family-owned and privately-held businesses.
